RSK Group exceeds 100 acquisitions in five years

RSK Group has acquired architectural and property consultancy business, N-Able Group, for an undisclosed sum.

London-headquartered N-Able provides design and construction services to the built environment, specialising in the delivery of low energy, low environmental impact buildings. 

It comprises two companies:  

  • ECD Architects – an architecture firm providing sustainable building design in England and Scotland. 
  • Keegans – a building consultancy specialising in retrofit, building and fire safety. 

N-Able also has offices in Glasgow and Preston, and employs 110 people. 

Legal  

FRP Corporate Finance partner, Mark Naughton, associate director, Freddie James, and manager, Kush Kunwar, led negotiations on price, structure and working capital considerations for shareholders, managing the deal to completion. 

Gowlings provided sell-side legal advice, while Memery Crystal provided buy-side counsel and Cortus provided buy-side financial due diligence. 

RSK growth plans  

Last year, RSK secured a massive funding boost to support the business’ ongoing expansion strategy, receiving a £500 million preferred equity investment from a consortium led by global investors Searchlight Capital Partners and Ares Management Corporation.  

Long-standing investor Ares also committed to an incremental £300 million debt facility for the business, a total of £1.4 billion to date.  

The firm said the refinancing event was completed in September last year, with shareholder BGF providing a further £20 million investment, increasing the total equity package to £520 million at the time. 

Last month, RSK announced it had acquired more than 100 businesses in the last five years. 

It has also said by 2030 it will employ more than 40,000 people and deliver more than £5 billion of revenue. 

Thanks to its solid turnover growth, up 52.1 per cent to £1.9 billion, RSK generated an operating profit of £8.1 million in 2024. 

Naughton said: “N-Able has been pioneering sustainability within architecture and property consultancy for nearly three decades, so it was important to find a buyer with closely aligned values.”
